This End User Licence Agreement (the “EULA”) governs your installation and use of browser extensions published by Ayima UK Ltd (“Ayima”, “we”, “us” or “our”) that link to or refer to this EULA (each an “Extension”, and together the “Extensions”).
Ayima UK Ltd is a company registered in England and Wales under company number 06680571, with its registered office at Kingsley House, 22–24 Elm Road, Leigh-On-Sea, Essex, SS9 1SN, United Kingdom.
By installing, accessing or using an Extension, you agree to this EULA. If you do not agree to it, you should not install or use the Extension.
Subject to this EULA, Ayima grants you a limited, non-exclusive, non-transferable and revocable licence to install and use the Extension.
The Extensions are provided free of charge.
You may use the Extensions for both personal and commercial purposes. This includes use by businesses, agencies, consultants, employees, contractors and other organisations as part of their normal business activities.
An organisation may deploy an Extension to multiple users or managed devices, provided that use remains subject to this EULA.
This EULA gives you permission to use the Extension. It does not transfer ownership of the Extension or any intellectual property rights in it to you.
You may use an Extension for its intended purpose, including analysing websites, webpages, HTTP responses, redirects, links, metadata and other information that the Extension is designed to inspect or process.
You are responsible for ensuring that your use of an Extension complies with applicable law and that you have any permissions required to access or analyse websites, systems or information that are not publicly accessible.
Except where applicable law expressly permits otherwise, you must not:
Nothing in this EULA restricts rights that you have under applicable law which cannot lawfully be restricted by contract.
The Extensions, including their source code, software, design, interfaces, branding, documentation and other associated materials, are owned by Ayima or its licensors and are protected by copyright, trade mark and other intellectual property laws.
All rights not expressly granted under this EULA are reserved.
An Extension may include open-source software or other third-party components. Those components may be subject to their own licence terms, and where those terms conflict with this EULA in relation to the relevant third-party component, the applicable third-party licence will take precedence.
To perform their intended functions, Extensions may request permissions from Google Chrome or another compatible browser.
Depending on the Extension, these permissions may allow it to inspect webpages, URLs, network responses, redirects, HTTP headers or other information available within your browser.
These permissions are used to provide the Extension's functionality on your device. The fact that an Extension has permission to access particular browser or webpage information does not mean that this information is sent to Ayima.
Except where you deliberately activate a feature that requires communication with an external website or service, as described below, Ayima's Extensions do not transmit your browsing activity or Extension usage to Ayima.
You should review the permissions requested by an Extension before installing it.
Ayima's Extensions are designed to operate locally within your browser wherever their functionality allows.
In normal use:
Information inspected or generated by an Extension as part of its ordinary functionality remains on your device.
Some Extensions may contain links or buttons which open external websites. Following such a link is equivalent to following a normal link on a webpage: your browser will connect to the relevant external website, and that website may process information in accordance with its own privacy policy and terms.
Certain clearly identified optional features may also transmit specific information to an external service when you deliberately activate that feature. These exceptions are described in this EULA and, where appropriate, within the relevant Extension.
Google Chrome, the Chrome Web Store, Google or another browser/platform provider may independently communicate with their own systems for purposes such as installing, updating, verifying or managing extensions. Those communications are controlled by the relevant platform provider rather than Ayima and are subject to that provider's own terms and privacy policies.
Some Extensions include links to websites operated by Ayima or third parties.
If you click one of these links, your browser will leave the Extension and open the relevant external website.
The mere presence of such links does not mean that the Extension is transmitting your browsing history, usage information or other data to that website in the background.
External websites operate independently from the Extension and may collect technical information normally associated with visiting a website, such as your IP address, browser information and HTTP request information.
Your use of those websites is subject to their respective terms and privacy policies.
Certain Extensions may provide an optional feature allowing technical information to be submitted to Ayima AI for automated analysis.
For example, Redirect Path may provide an “Ask Ayima AI” button.
This feature is entirely optional. Redirect Path does not automatically send redirect information, browsing activity or Extension usage to Ayima AI.
Information is transmitted only when you deliberately activate the relevant feature, such as by clicking the “Ask Ayima AI” button.
When you use the Ask Ayima AI feature in Redirect Path, the Extension may submit information relating to the redirect chain that you are currently inspecting. This may include:
This information consists primarily of technical HTTP information which would normally be observable by somebody requesting the same publicly accessible URLs.
The feature is not designed to send information about you, your browsing behaviour or your identity to Ayima AI.
However, URLs and HTTP headers can sometimes contain identifiers, query-string parameters, authentication information or other data placed there by a website operator. You should therefore avoid using the AI feature on URLs containing confidential, private, personal, authentication or security-sensitive information.
Ayima AI may use one or more third-party artificial intelligence providers to process the information submitted for analysis. The provider used may vary and, where appropriate, users may be able to select between providers.
Information supplied to an AI provider may therefore be processed by that provider in accordance with the arrangements applicable to Ayima AI and the relevant provider.
Ayima does not guarantee that AI-generated analysis will be correct. AI-generated responses may be inaccurate, incomplete, misleading or unsuitable for a particular situation.
You remain responsible for reviewing and verifying AI-generated output before relying upon it.
Extensions may interact with, analyse or provide links to websites and services operated by third parties.
Ayima does not control those third parties and is not responsible for their availability, security, content, accuracy, behaviour, terms or privacy practices.
The fact that an Extension identifies, analyses, links to or otherwise interacts with a third-party website or service does not mean that Ayima endorses that website or service.
Your use of third-party websites and services remains subject to their applicable terms.
The Extensions are intended to assist users in inspecting and understanding technical information.
Results may be affected by factors outside Ayima's control, including browser behaviour, browser caching, extensions installed by other providers, local network configuration, proxies, content delivery networks, server configuration, JavaScript behaviour, authentication, geographic location and changes made by website operators or browser vendors.
Accordingly, an Extension may not always identify every issue or may report information differently from another browser, crawler, testing tool or monitoring system.
You should verify important findings independently before making significant technical, commercial, SEO, security or operational decisions based upon them.
Information provided by an Extension is provided as a technical aid and does not constitute legal, financial, security or other regulated professional advice.
Where an Extension provides SEO, web development or similar technical analysis, that information should not be treated as a guarantee of search engine performance, traffic, rankings, revenue or any other outcome.
Ayima may update an Extension from time to time to add, remove or change functionality, maintain compatibility, correct bugs, address security issues or respond to changes made by browsers or third-party services.
Updates may be installed automatically through the Chrome Web Store or another distribution platform.
The Extension may communicate with Google Chrome, the Chrome Web Store or another authorised distribution mechanism as part of the platform's normal extension installation and update process. This should not be interpreted as Ayima tracking Extension usage or browsing activity.
We are not obliged to continue maintaining, supporting or updating any Extension indefinitely.
We may modify, suspend or discontinue an Extension or any part of its functionality at any time.
Where reasonably practicable, we will avoid making changes that unnecessarily interfere with existing users, but we do not guarantee continued availability of any particular feature.
The Extensions are provided free of charge.
We do not guarantee that an Extension will always be available, uninterrupted, error-free, compatible with future versions of Chrome or other software, or free from defects.
Ayima has no contractual obligation to provide technical support, maintenance, updates or particular service levels unless we separately agree otherwise in writing.
We may nevertheless provide updates, documentation or support at our discretion.
We take reasonable care in developing and maintaining our Extensions, but no software can be guaranteed to be entirely free from vulnerabilities, defects or malicious interference.
You are responsible for maintaining appropriate security measures on your own devices, networks and systems.
If you believe you have identified a security vulnerability in an Ayima Extension, please report it to Ayima rather than exploiting or publicly disclosing the vulnerability in a manner that could put users at risk.
Subject to any rights or warranties which cannot lawfully be excluded, the Extensions are provided “as is” and “as available”.
Ayima does not warrant that an Extension will:
Nothing in this EULA affects any statutory rights you may have where those rights cannot legally be excluded or restricted.
Nothing in this EULA excludes or limits liability where it would be unlawful to do so.
In particular, nothing excludes or limits liability for:
If you use an Extension as a consumer, Ayima is responsible for losses that you suffer which are a foreseeable result of Ayima breaching this EULA or failing to use reasonable care and skill, where applicable.
Ayima is not responsible for losses which were not reasonably foreseeable when you began using the Extension.
The Extensions are made available primarily as technical tools. If you use an Extension as a consumer, Ayima is not responsible for business losses, including loss of profit, revenue, business opportunity or business interruption.
Nothing in this EULA affects your statutory rights as a consumer.
If you use an Extension wholly or mainly for the purposes of a business, trade, craft or profession, then, to the fullest extent permitted by law, Ayima will not be liable for:
Subject to section 16.1, Ayima's total aggregate liability to a business user arising out of or in connection with an Extension or this EULA, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed £100.
The limitations in this section reflect that the Extensions are provided free of charge.
You are responsible for how you use information obtained through an Extension and for decisions or actions taken as a result of that information.
In particular, you should not rely exclusively on an Extension when making changes that could materially affect a website, production system, search engine visibility, security configuration or business operation.
You are responsible for maintaining appropriate backups, testing processes and change-control procedures.
You may terminate this EULA at any time by uninstalling and ceasing to use the Extensions.
Ayima may terminate your licence to use an Extension if you materially breach this EULA.
Ayima may also withdraw or discontinue an Extension generally, in which case your licence will end when the Extension is withdrawn or otherwise ceases to be made available.
On termination, you must stop using the relevant Extension and, where applicable, uninstall it.
Sections which by their nature are intended to continue after termination, including provisions relating to intellectual property, disclaimers and liability, will continue to apply.
Ayima may amend this EULA from time to time, including to reflect changes to the Extensions, applicable law or the services on which the Extensions depend.
The current version will be published on Ayima's website together with the date it was last updated.
Material changes will apply prospectively. Where required by law, we will provide additional notice or obtain consent before a change becomes binding.
If you continue using an Extension after an amended EULA takes effect, that continued use will constitute acceptance of the amended terms to the extent permitted by applicable law.
Google Chrome and the Chrome Web Store are operated by Google and are subject to Google's own terms and policies.
Ayima is an independent extension developer. Unless expressly stated otherwise, the Extensions are not sponsored, endorsed by or affiliated with Google.
“Google”, “Google Chrome”, “Chrome” and related trade marks are the property of their respective owners.
The same principle applies where an Extension is made available through another browser or distribution platform.
You may not transfer your rights under this EULA to another person where doing so would involve transferring, sublicensing or redistributing the Extension contrary to this EULA.
Ayima may transfer its rights and obligations under this EULA to another organisation, for example as part of a restructuring, merger, acquisition or transfer of the Extensions, provided that doing so does not reduce any rights you have that cannot legally be reduced.
If Ayima does not immediately enforce a provision of this EULA, this does not mean that Ayima has waived its right to enforce that provision later.
If a court or other competent authority finds that any provision of this EULA is unlawful, invalid or unenforceable, the remaining provisions will continue in effect.
Where reasonably possible, an invalid provision will be interpreted or modified only to the minimum extent necessary to make it valid and enforceable.
If you are a business user, this EULA constitutes the entire agreement between you and Ayima concerning your use of the Extensions, except where Ayima and your organisation have entered into a separate written agreement covering the same subject matter.
Nothing in this section excludes liability for fraud or fraudulent misrepresentation.
Unless this EULA expressly states otherwise, a person who is not a party to this EULA has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any of its terms.
This EULA and any dispute or claim arising from it are governed by the laws of England and Wales.
If you are a business user, the courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to this EULA or an Extension.
If you are a consumer, you may have the right under applicable consumer law to bring proceedings in the part of the United Kingdom or other jurisdiction in which you live. Nothing in this EULA removes any mandatory jurisdictional rights available to you as a consumer.
